Terms of Service
The terms on which we provide advisory and trading services, including how fees, cancellation and refunds work.
1. About these terms
These terms apply to your use of this website and, together with the written scope for each engagement, to the services we provide. If the written scope and these terms conflict, the written scope wins for that engagement. "We", "us" and "our" mean Immaculate Business Solutions - F.Z.E. "You" means the person or company using the website or engaging us.
2. What we do
We are licensed by the Free Zones Authority of Ajman for the following activities, and we do not offer services outside them:
- Human Resources Consultancy
- Business Consultancy
- Marketing Management
- E-Commerce
- Management Consultancies
- Consultancy Project Development
- Medical, Surgical Equipment & Instruments Trading (Import & Export)
- Tourism & Recreation Consultants
Our advisory work is commercial advice. It is not legal, tax, audit, medical or investment advice, and where those are needed we will say so and, if you wish, help you find a licensed professional.
3. Using this website
The website describes our services. Nothing on it is an offer capable of acceptance; all engagements are formed as described in section 4. We try to keep the content accurate but we do not warrant that it is complete or current. Prices are not published: every engagement is quoted individually.
You may view and print pages for your own reference. You may not copy the site's content for commercial use, scrape it, or use it to build a competing service, without our written permission.
4. How an engagement works
- Enquiry. You contact us by email or phone and describe what you need.
- Written scope. We send a written proposal setting out what we will do, what we will deliver, by when, and what it costs. Nothing is agreed until it is in writing.
- Acceptance. The engagement begins when you confirm the scope in writing (email is sufficient) and, where the scope requires it, pay the initial invoice.
- Delivery. We do the work described. Anything outside the scope is quoted separately before we do it.
- Hand-over. We deliver the agreed work product and any documents held on your behalf.
You will deal with one named contact who is responsible for the engagement. We may involve other specialists under our supervision; we remain responsible to you for their work.
5. Fees, cancellation and refunds
This section stands in place of a separate refund policy. We sell no goods or services online, take no payment through this website, and every fee is quoted in writing before work begins, so there is no purchase to refund in the retail sense. What follows is how fees behave when an engagement changes course.
5.1 Quotes and invoices
- Fees are quoted in UAE dirhams (AED) unless the scope says otherwise, and are exclusive of VAT, which is added at the prevailing rate where it applies.
- The quote states whether the fee is fixed, time-based, or a monthly retainer, and any third-party costs (government fees, licence fees, freight, duties) that are passed through at cost.
- There are no fees beyond those stated in the written scope. If something unforeseen would add cost, we will tell you and seek your written agreement before incurring it.
- Invoices are due within 14 days of issue unless the scope states otherwise.
5.2 Deposits and retainers
- Fixed-fee engagements may require a deposit stated in the scope, typically [e.g. 30–50%], before work begins. [Company to confirm the standard percentage.]
- Retainers are invoiced monthly in advance and cover the availability and work described in the scope for that month.
5.3 Cancellation by you
- Before work begins: you may cancel by written notice. We refund any deposit paid, less any third-party costs already incurred on your instruction (for example government fees already paid).
- After work has begun – fixed fee: you may cancel by written notice. You pay for work completed to the date of cancellation, calculated as a fair proportion of the fixed fee, plus third-party costs incurred. Any deposit exceeding that amount is refunded within 14 days; any shortfall is invoiced.
- Retainers: either party may end a retainer on [30 days'] written notice. The current month is not refunded; no further months are charged. [Company to confirm the notice period.]
- Trade orders: see section 6 – goods contracts are governed by their own terms.
5.4 Cancellation by us
We may end an engagement by written notice if you do not pay on time, do not provide what section 7 requires after a reminder, ask us to do something unlawful or outside our licence, or if continuing would put us in breach of our licence or the law. In that case you pay for work completed to that date and we refund any deposit in excess of it.
5.5 When a refund is due
- Refunds are made to the account the payment came from, in the currency it was paid, within 14 days of the amount being agreed.
- Fees for work already completed and delivered are not refundable, because the work has been done.
- Third-party costs we have paid on your behalf are not refundable by us; where the third party will refund them, we will pass the refund on.
5.6 Disputed invoices
If you believe an invoice is wrong, tell us in writing within 14 days of receiving it. We will review it, and only the disputed part is withheld while we do; the rest remains due.
6. Trading and import/export
Our trading activity – medical, surgical equipment and instruments (import and export) – is a sale of goods, not advice. Each transaction is governed by a written sale contract or purchase order which sets out the goods, quantity, price, delivery terms (Incoterms), payment terms and inspection rights. Where that contract is silent, these terms apply.
- We supply goods that conform to the description and specification in the contract and to the UAE regulations that apply to them. Medical equipment is supplied with the registrations and documentation the relevant authority requires.
- Risk and title pass as the contract's Incoterm and payment terms provide.
- You must inspect goods on delivery and notify any non-conformity in writing within the period stated in the contract, or within 7 days if none is stated.
7. What we need from you
Our advice is only as good as the information behind it. You agree to give us accurate and complete information, timely decisions and access to the people and documents the scope requires, and to tell us promptly if anything changes. Where we act on your behalf with an authority, bank or counterparty, you warrant that you have the power to authorise us to do so.
8. Confidentiality and data
Each of us will keep the other's confidential information confidential and use it only for the engagement, except where the law or a regulator requires disclosure. This continues for 3 years after the engagement ends, and indefinitely for trade secrets. Personal data is handled as our Privacy Policy describes; where we process your staff's or customers' data on your behalf, a data-processing agreement forms part of the scope.
9. Work product and intellectual property
When you have paid in full, you own the deliverables made specifically for you under the scope – reports, plans, policies, campaign material. We keep ownership of our methods, templates, know-how and anything we created before or outside the engagement, and we grant you a licence to use those to the extent they are embedded in your deliverables. We may describe the engagement in general terms as a reference, but we will not name you without your written consent.
10. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited.
- Subject to that, our total liability arising from an engagement, however arising, is limited to the fees paid for that engagement in the 12 months before the claim.
- We are not liable for indirect or consequential loss, loss of profit, revenue, business or goodwill, or for decisions you make on the basis of our advice where you had, or should have had, other information.
- Advice is given for your use and may not be relied on by anyone else.
11. Ending an engagement
Engagements end on completion of the scope, by cancellation under section 5, or by written agreement. On ending, each party returns or deletes the other's confidential information, we deliver any completed work that has been paid for, and any sums due are settled. Sections 8, 9, 10 and 12 survive.
12. Governing law and disputes
These terms and every engagement are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Ajman, together with the regulations of the Ajman Free Zone.
If a dispute arises we will first try to resolve it by discussion between senior representatives within 30 days. If that fails, the courts of Ajman have exclusive jurisdiction, unless the parties agree in writing to arbitration. [Company to confirm with counsel whether arbitration, for example under the Ajman or Dubai International Arbitration Centre rules, is preferred for trade contracts.]
13. General
- These terms and the written scope are the whole agreement for an engagement and replace any earlier discussions.
- Neither party is liable for delay caused by events outside its reasonable control, provided it tells the other promptly.
- If any part of these terms is found unenforceable, the rest continues.
- We may update these terms for future engagements by posting a new version here; engagements already agreed continue under the version in force when they were agreed.
